With reference to Current Reports Nos. 5/2024 and 8/2024, the ENEA S.A. Management Board hereby provides additional information on Ms. Agata Michalska-Olek and Mr. Michał Gniatkowski, newly appointed members of the ENEA S.A. Supervisory Board of the 11th term of office.

Ms. Agata Michalska-Olek is a graduate of the Faculty of Law and Administration at the Adam Mickiewicz University in Poznań, where she also obtained a doctorate in law, specializing in the functioning of management boards and supervisory boards of cooperatives. Since 2001, she has been running her own legal practice and is a member of the Wielkopolska Bar Association. Known for her activities for the benefit of the association of advocates, such as organizing conferences and trainings, she was also a member of the Medical Commission appointed by the Voivode of Wielkopolska during the first term starting in 2012. She is a judge of the Disciplinary Court of the Wielkopolska Bar Association. She is also a certified mediator. As a lecturer, Ms. Michalska-Olek teaches civil law, tax law and labor law. She is active in the local community in her hometown of Poznań. Ms. Michalska-Olek comes from a family with a rich legal tradition.

She has experience in drafting legal opinions and commercial contracts for county offices and various sectors of the economy, including the energy sector. Ms. Michalska-Olek has provided provides legal services to companies in the construction, food and IT sectors on a wide range of business issues, including the regulation of legal status. She also specializes in drafting and reviewing commercial and real estate contracts.

She was a member of the Supervisory Board of Rema S.A.

According to her representation, Ms. Agata Michalska-Olek does not conduct any activity in any form that would compete with ENEA S.A., nor does she participate in any competing company as a partner in a civil or commercial law partnership or as a member of a governing body in a company and she does not participate in any competing legal person as member of its governing body.

Ms. Agata Michalska-Olek is not listed in the Register of Insolvent Debtors kept pursuant to the National Court Register Act.

According to his representation, Mr. Michał Gniatkowski does not conduct any activity in any form that would compete with ENEA S.A., nor does she participate in any competing company as a partner in a civil or commercial law partnership or as a member of a governing body in a company and she does not participate in any competing legal person as member of its governing body.

Mr. Michał Gniatkowski is not listed in the Register of Insolvent Debtors kept pursuant to the National Court Register Act.
