The Management Board of ENEA S.A. ("Company") hereby reports that on 13 March 2023 the Extraordinary General Meeting of ENEA S.A. adopted a resolution by the power of which

Ms. Aleksandra Agatowska was appointed to the Company's Supervisory Board of the 11th term of office as of the same date.

Below the Company provides information on Ms. Aleksandra Agatowska's education, qualifications and positions held prior as well as a description of her professional career.

Ms. Agatowska is a manager with extensive experience in the finance and insurance sectors. Since 2016, she has served as a Management Board Member at PZU Życie S.A. - at first as an ordinary Member and since February 2021 as President of the Management Board. She has also served as Supervisory Board Chairwoman at Alior Bank S.A. and PZU Zdrowie S.A. and Supervisory Board Member at PZU Centrum Operacji S.A. and TUW PZUW S.A. Prior to these roles, she acquired her professional experience in companies of the ING Group, HDI (currently: Warta), Sony Europe and Philips S.A., where she headed the Marketing and Business Intelligence team covering over a dozen countries in the region. She has also collaborated with the Center for Public Policy Evaluation and Analysis at the Jagiellonian University. She graduated from the Faculty of Sociology at the Jagiellonian University in Kraków. She has completed numerous management programs in the fields of strategy, management and finance at prestigious educational institutions, including Columbia University, the London School of Economics and Political Science and the Northwestern Kellogg School of Management. She holds an Executive MBA degree obtained from Kozminski University.

According to her representation, Ms. Aleksandra Agatowska does not conduct any activity in any form that would compete with ENEA S.A., nor does she participate in any competing company as a partner in a civil or commercial law partnership or as a member of a governing body in a company and she does not participate in any competing legal person as member of its governing body. Ms. Aleksandra Agatowska is not listed in the Register of Insolvent Debtors kept pursuant to the National Court Register Act.
