Subject: Changes in the composition of the ENEA S.A. Supervisory Board

The Management Board of ENEA S.A. ("Company") hereby reports that on 18 November 2022 the Extraordinary General Meeting of ENEA S.A. adopted resolutions by the power of which the following changes were made in the composition of the Company's Supervisory Board of the 11th term of office:

dismissed:

- Mr. Paweł Andrzej Koroblowski,

appointed:

- Ms. Aneta Kordowska,

- Mr. Paweł Łącki,

- Mr. Piotr Zborowski.

Below the Company provides information on Mr. Paweł Łącki and Mr. Piotr Zborowski's education, qualifications and positions held prior as well as a description of their respective professional careers.

Mr. Paweł Łącki completed his law studies at the Faculty of Law and Administration of the Adam Mickiewicz University in Poznań. He then obtained his Ph.D. degree in law from the same university.

Since 2012, he has been practicing the legal profession as a member of the Bar Association in Poznań. He works as an assistant professor at the SWPS University of Social Sciences and Humanities where he teaches civil law. He is the author of a number of scholarly articles published in some of the most significant legal journals in Poland.

He has extensive experience in providing services to entities from the power sector - owned by both the State Treasury and foreign capital. He has advised clients on regulatory and transactional aspects and on the shaping of complex contractual relationships. He has conducted numerous due diligence processes and represented clients in precedent litigation and arbitration proceedings.

Mr. Paweł Łącki has served as a Supervisory Board Member at KDPW S.A. and ENEA Wytwarzanie sp. z o.o.

According to his representation, Mr. Paweł Łącki does not conduct any activity in any form that would compete with ENEA S.A., nor does he participate in any competing company as a partner in a civil or commercial law partnership or as a member of a governing body in a company and he does not participate in any competing legal person as member of any of its governing bodies. Mr. Paweł Łącki is not listed in the Register of Insolvent Debtors kept pursuant to the National Court Register Act.

Mr. Piotr Zborowski graduated from the Faculty of Law and Administration at the University of Warmia and Mazury in Olsztyn, having majored in law. He completed his legal training at the Regional Chamber of Legal Counsels in Warsaw. Since 2021, he has been serving as Vice-President of the Management Board of Bank Pekao S.A. Previously, he served as the bank's director in charge of providing corporate customer services, corporate governance and supporting the operation of the Management Board and the Supervisory Board. He has been involved in the process of development and pursuit of the bank's strategy, the execution of a number of strategic projects and the bank's cooperation with the PZU Group.

He has worked in various government administration units. He has performed advisory duties in commercial enterprises.

According to his representation, Mr. Piotr Zborowski does not conduct any activity in any form that would compete with ENEA S.A., nor does he participate in any competing company as a partner in a civil or commercial law partnership or as a member of a governing body in a company and he does not participate in any competing legal person as member of its governing body. Mr. Piotr Zborowski is not listed in the Register of Insolvent Debtors kept pursuant to the National Court Register Act.

Information on Ms. Aneta Kordowska will be published in a separate current report to be released after the Company has obtained all pertinent information and statements.
