Subject: Execution of a surety agreement for ENEA Elektrownia Połaniec's liabilities

The Management Board of ENEA S.A. ("Issuer") hereby reports that on 7 July 2022 it signed a surety agreement with Izba Rozliczeniowa Giełd Towarowych S.A. ("IRGiT") for the liabilities of its subsidiary, ENEA Elektrownia Połaniec S.A. ("Subsidiary") up to the amount of PLN 4,000,000,000 ("Agreement"). The surety covers all liabilities incurred by the Subsidiary for the clearing of transactions by IRGiT.

The surety will remain in force until 30 April 2023.

In connection with the execution of the Agreement, the Issuer has provided a notarized declaration of its voluntary submission to enforcement pursuant to Article 777(1)(5) of the Code of Civil Procedure up to the amount of the granted surety, that is up to PLN 4,000,000,000. IRGiT will be entitled to initiate legal action to issue an enforcement clause on the said notarized declaration until 30 September 2023.

The other terms of the Agreement do not differ from the provisions typical of this type of contract.
