The Management Board of ENEA S.A. ("Company", "Issuer") hereby reports that on 27 May 2020 the Company received statements from the Minister of State Assets that on the same date the Minister exercised his powers to dismiss and appoint a member of the ENEA S.A. Supervisory Board pursuant to § 24 sec. 1 of the Company's Articles of Association.
According to the said statements, the Minister of State Assets, in exercise of the powers conferred on him, dismissed, effective as of 27 May 2020, Mr. Bartosz Nieścior from the Company's Supervisory Board and, at the same time, appointed Mr. Paweł Szczeszek to the Company's Supervisory Board.
Below the Company provides information on the education, qualifications and positions held previously by the new Supervisory Board Member along with a description of his professional career.
Mr. Paweł Szczeszek graduated from the Faculty of Mechanical Engineering and Computer Science and the Faculty of Management of the Częstochowa University of Technology. He also completed post-graduate studies in diplomacy.
From December 2018 to 26 May 2020, he served as President of the Management Board of Zespół Elektrociepłowni Wrocławskich KOGENERACJA SA. In 2017-2018, he worked as Vice-President of the Management Board of PGNiG Termika Energetyka Przemysłowa S.A. From 2016 to August 2017, he served as President of the Management Board of Przedsiębiorstwo Energetyki Cieplnej S.A. in Jastrzębie-Zdrój. Earlier, he worked as Vice-President of the Management Board of the Regional Development Agency in Częstochowa, where he executed over a dozen projects co-financed with EU structural funds.
He also gained his professional experience in public administration and Przedsiębiorstwo Państwowe "Porty Lotnicze" Sp. z o.o., where he was responsible for overseeing the assets of the Warsaw Okęcie airport. He has participated in a number of conferences devoted to power sector and environmental issues, including the 55th UN Plenary Session on Climate Change.
He has obtained a diploma from the State Treasury Minister confirming his passing of an examination for candidates for members of supervisory boards in State Treasury-owned companies. He has sat on the supervisory boards of the following companies: Wojewódzkie Przedsiębiorstwo Robót Drogowych w Katowicach Sp. z o.o., Agencja Rozwoju Regionalnego w Częstochowie S.A., Radomskie Przedsiębiorstwo Energetyki Cieplnej S.A., SEJ-Serwis sp. z o.o., Jelcz sp. z o.o. and Geotermia Podhalańska S.A.
According to his representation, Mr. Paweł Szczeszek does not conduct any activity in any form that would compete with ENEA S.A., nor does he participate in any competing company as a partner in a civil or commercial law partnership or as a member of a governing body in a company and he does not participate in any competing legal person as member of any of its governing bodies. Mr. Paweł Szczeszek is not listed in the Register of Insolvent Debtors kept pursuant to the National Court Register Act.
