The Management Board of ENEA S.A. ("Company") hereby reports that on 19 March 2020 the Extraordinary General Meeting of the Company adopted resolutions, by the power of which the following persons were appointed to the Supervisory Board of ENEA S.A. of the 10th term, effective on the same date:
- Ms. Izabela Felczak-Poturnicka, who was at the same time appointed Chairwoman of the Company's Supervisory Board;
- Mr. Mariusz Fistek.
Below the Company provides information on the education, qualifications and positions held prior and a description of professional career of the appointees.
Ms. Izabela Felczak-Poturnicka received a degree in Economics from the Lazarski University in Warsaw. She then completed a PhD course in Management and Finance and postgraduate studies in company valuation methods at the Warsaw School of Economics.
She has 15 years of professional experience, among others with corporate governance in companies with State Treasury shareholding and capital market transactions. She currently serves as the Head of the Corporate Governance Department at the Ministry of State Property. Prior to that engagement, she was Deputy Director at the Prime Minister's Office. In 2016 and 2018 she was delegated to act as the President of Management Board of Polski Holding Nieruchomości S.A.
She is the Chairwoman of the Supervisory Board of Polski Holding Nieruchomości S.A. She also sat on the Supervisory Boards of, among others: PKN ORLEN S.A., Jastrzębska Spółka Węglowa S.A., ZEW Niedzica S.A., MERAZET S.A., Z.Ch. ZACHEM S.A. and MERITUM BANK ICB S.A.
She is a Member of the Centre for Information and Organization of Research on Public Finances and Tax Law in Central and Eastern Europe Countries operating at the Faculty of Law of the University of Białystok and a member of two expert teams at the Corporate Governance Reform Committee. She is the Deputy Chairwoman of the Commission examining applications to approve employment of former public officials. Winner of the Lazarski Diamonds competition.
According to her representation, Ms. Izabela Felczak-Poturnicka does not conduct any activity in any form that would compete with ENEA S.A., nor does she participate in any competing company as a partner in a civil or commercial law partnership, or as a member of a governing body in a company and she does not participate in any competing legal person as member of its governing body. Ms. Izabela Felczak-Poturnicka is not listed in the Register of Insolvent Debtors kept pursuant to the National Court Register Act.
Mr. Mariusz Fistek is a legal counsel, member of the Circuit Chamber of Legal Counsel in Warsaw and of the Professional Conduct Commission of the Circuit Chamber of Legal Counsel in Warsaw. Att. Fistek is a graduate of the Executive Master of Business Administration (MBA) course from Apsley Business School of London and the Warsaw Management University. He graduated from the Faculty of Law and Administration of the University of Warsaw. He completed the Center for American Law Studies, which is a joint initiative of the Law Faculty of the state University of Florida and the Faculty of Law and Administration of the University of Warsaw. In 2011 he completed the Master in Law and IT course at the Stockholm University focused on international law and information technology, earning the LL.M. degree. Attorney Fistek is a registered arbiter of the Court of Arbitration at the Consulting Engineers and Experts Association (SIDiR) and a registered SIDiR mediator. He conducts coaching workshops and courses for postgraduate students, law community and management staff.
Since 2014, Att. Mariusz Fistek has been employed as a legal counsel at the Legal and Corporate Governance Department of Poczta Polska S.A. He also represents businesses and individuals in civil law and administrative law proceedings before courts and state authorities, advises on construction law, energy law, liability for damages. He has experience in proceedings before the Court of Arbitration at the Polish Chamber of Commerce. He specializes in economic law and civil law disputes. He has participated in numerous conferences in Poland and internationally (among others in the Working Group of the United Nations Commission on International Trade Law UNCITRAL in New York).
According to his representation, Mr. Mariusz Fistek does not conduct any activity in any form that would compete with ENEA S.A., nor does he participate in any competing company as a partner in a civil or commercial law partnership, or as a member of a governing body in a company and he does not participate in any competing legal person as member of its governing body.
