In relation to current reports No. 23/2017 and No. 29/2017 on, respectively, amendment to the Company's Statute by the Ordinary General Meeting of Shareholders of Enea S.A. on 26 June 2017 and determination of the consolidated text of Enea S.A.'s Statute, acting pursuant to § 38 item 1(2) of the regulation of the Minister of Finance of 19 February 2009 on current and periodic information published by issuers of securities [...], the Management Board of Enea S.A. (Issuer, Company) informs that on 6 March 2018 the Company gained knowledge about the registration on the same day by the District Court for Poznań-Nowe Miasto and Wilda in Poznan, VIII Commercial Division of the National Court Register (Court), of amendments to the Company's Statute made by the Ordinary General Meeting of Shareholders of Enea S.A. on 26 June 2017.
In accordance with information obtained by the Company, the Court registered amendments § 20 item 4, § 11, § 13, § 14 item 1, § 18, § 20 item 2 by amending point 9 thereof and adding points 10, 11, and 12, § 20 item 3 by amending point 14 thereof and adding points 15, 16, 17, 18, and 19, § 20 item 5, § 23 item 1, § 36 and § 40 by deleting item 6 thereof and changing the number of item 7 to item 6. The amendments indicated hereinabove were introduced pursuant to resolutions No. 27-37 of the Ordinary General Meeting of the Shareholders of Enea S.A. of 26 June 2017.
At the same time, the Issuer informs that the list of amendments made to the Company's Statute, alongside with an indication of provisions currently in force, was published as an attachment to the current report No. 23/2017 of 27 June 2017. The consolidated text of the Company's Statute, including amendments referred to hereinabove, is provided by the Issuer in the attachment to this report.
