In relation to the current report No. 2/2017 dated 18 January 2017 the Management Board of Enea S.A. ("Company") informs that on 20 January 2017, in relation to the satisfaction of conditions precedent reserved in the investment agreement concluded on 18 January 2017 ("Investment Agreement"), the Company accepted the offer made by the Management Board of Polimex Mostostal S.A. ("Polimex") to subscribe, in a private subscription, for 37,500,000 T series ordinary bearer shares of the nominal value of PLN 2 each, issued by Polimex at the issue price of PLN 2 per share and for the total issue price of PLN 75,000,000.
The Company additionally informs that performing the agreement concluded with SPV Operator sp. z o.o. ("SPV Operator"), on 20 January 2017, in relation to the satisfaction of conditions precedent reserved in the Investment Agreement, the Company acquired 1,500,000 shares in Polimex from SPV Operator.
