The Management Board of Enea S.A. ("Company") informs that on 16 September 2016 Enea S.A. and PGE S.A., Energa S.A. and PGNiG Termika S.A. ("Business Partners") jointly submitted a preliminary, nonbinding offer to EDF International SAS ("EDF") for the purchase of shares in companies belonging to EDF in Poland, holding conventional generating assets and pursuing a service activity.

The assets include in particular:

- Rybnik Power Plant,

- Combined heat and power plant in Kraków, Combined heat and power plant in Gdańsk, Combined heat and power plant in Gdynia, Combined heat and power plant and heating network in Toruń;

- Combined heat and power plant and heating network in Wrocław agglomeration, Combined heat and power plant and heating network in Zielona Góra (belonging to Zespół Elektrociepłowni Wrocławskich Kogeneracja S.A. and its subsidiary, Elektrociepłownia Zielona Góra S.A.).

- Investment in a gaseous unit in Toruń (as part of EDF Gaz Toruń sp. z o.o.).

In the event of admission to the next stage of the transaction the Business Partners will conduct a detailed due diligence analysis which will constitute the basis for the decision on further steps in the transaction, including the submission of a potential biding offer, after obtaining the required corporate approvals.

Having in mind the diverse and international nature of Enea SA's shareholding, and also the provisions of the Best Practices of WSE Listed Companies, Enea SA guarantees the availability of its website also in English. In case of any interpretation doubts and discrepancies between the Polish and English versions, the Polish version shall prevail.
