Explanation

In relation to the publication in "Uważam rze": „Mniej „graczy w zielone” na państwowych posadach” (Fewer "green players" on state positions) of 25 February 2013 we wish to point out that it contains untrue information which may mislead readers

We explain that the only shareholder of ENEA Wytwarzanie S.A. is ENEA S.A. and as such it holds exclusive competence to convene an Extraordinary General Meeting of Shareholders. Thus, the statement that the Minister of Treasury convened the EGMS is unauthorised and false. The statement that personal changes both in the Management Board and the Supervisory Board were made by Mikołaj Budzanowski, the Minister of Treasury, is also spurious. The changes were made by EGMS.

As at the publication date of the article (25 February 2013) the information that any President of the Board of ENEA Wytwarzanie S.A. was not nominated is untrue as well. Since 22 February 2013 the position has been held by Mr. Andrzej Schroeder.

At the same time we wish to inform that press publications do not result in personal changes in the ENEA Group. Personal changes in ENEA Wytwarzanie S.A. result from an analysis and performance evaluation based on it of particular people and objectives set before ENEA Wytwarzanie S.A. Any signals on irregularities and related issues which are raised in press information are each and every time checked and verified.

Having in mind the diverse and international nature of Enea SA's shareholding, and also the provisions of the Best Practices of WSE Listed Companies, Enea SA guarantees the availability of its website also in English. In case of any interpretation doubts and discrepancies between the Polish and English versions, the Polish version shall prevail.
