Content of report:

Acting pursuant to § 5 item 1(22) of the Regulation of the Minister of Finance of 19 February 2009 on current and periodic information published by issuers of securities […] and in relation to the nomination on 24 April 2013 by the Ordinary General Meeting of Shareholders of ENEA S.A. of Ms. Małgorzata Niezgoda and Mr. Torbjörn Wahlborg into the composition of the Company's Supervisory Board for the 8th common term, the Board of ENEA S.A. ("Company") hereby presents the information relating to the above mentioned persons.

Ms. Małgorzata Niezgoda

Ms. Małgorzata Niezgoda holds a higher qualification, she graduated from the Warsaw University of Life Sciences – SGGW on the Faculty of Environmental Engineering (individual course of studies in cooperation with the Warsaw University of Technology and Gdańsk University of Technology).

Professional experience:

Ms. Małgorzata Niezgoda holds a total of 17 years of professional experience consisting in the cooperation with the following entities:

- from 2001 – till present – a member of Supervisory Boards in State Treasury Companies (presently she sits in the Supervisory Board of Radio Gdańsk S.A.);

- IV 2012 – till present - Ministry of Treasury - Department of Strategic Projects, Head of the Department. The duties of Ms. Małgorzata Niezgoda within the above mentioned employment include e.g.:

•supervision of the whole of economic and legal issues connected with the operations of State Treasury companies and an analysis, participation and execution of the ownership supervision of State Treasury companies and also developing ownership decisions in relation to supervised companies;

•in the past Ms. Małgorzata Niezgoda supervised State Treasury companies from the sector of construction, metal industry, shipbuilding industry, publishers and polygraphy, including such entities as Mennica Polska S.A., KGHM Polska, Miedź S.A., ARP S.A., PWPW S.A.;

•presently supervised entities - four Polish energy groups, i.e. TAURON Polska Energia S.A., ENERGA S.A. ENEA S.A. and PGE Polska Grupa Energetyczna S.A.;

•apart from the execution of supervision activities Ms. Małgorzata Niezgoda additionally prepares and analyses a range of issues and documents connected with the functioning of the power sector.

- XI 2010 – Ministry of Treasury – Department of Strategic Companies, Head of the Department;

- IV 2009 – Ministry of Treasury – Department of Ownership Supervision II, Head of the Department;

- XI 2008 – Ministry of Treasury – Department of Ownership Supervision II, Chief Specialist;

- X 1996 – Ministry of Treasury - Office of the Minister;

- IV 1996 – X 1996 - Ministry of Ownership Transformation.

Qualifications:

- since 2005 - appointed civil servant;

- 9 June 2001 - examination for candidates for members of supervisory boards in State Treasury companies.

Ms. Małgorzata Niezgoda has not conducted, in any form, any competitive activity towards the Issuer, has not participated in any competitive company as a partner of a civil company, as a partner of a partnership or a member of an authority of a joint stock company and has not participated in any other competitive legal person as a member of its bodies. Ms. Małgorzata Niezgoda is not listed in the Register of Insolvent Debtors maintained based on the act on National Court Register.

Mr. Torbjörn Wahlborg

Mr. Torbjörn Wahlborg holds a M.Sc. Eng. degree obtained at Chalmers University of Technology in Gothenburg.

Professional experience:

- since 1 November 2012 till present, Senior Executive Vice- President for Nuclear Power in Vatenfall AB;

- during 2010-2012 Senior Executive Vice-President for Distribution and Sales and Country Manager, Sweden;

- since 2010 Member of EGM (Executive Group Management) in Vatenfall AB;

- during 2009-2010 Vice-President Business Group Nordic;

- during 2008-2009 Country Manager in Vattenfall Poland;

- during 2006-2008 Head of Vattenfall Sales Poland, Gliwice;

- during 2001-2006 Vice-President of GZE SA, Gliwice;

- during 1997-2001 Vice-President of Vattenfall Poland;

- during 1996-1997 Project Manager, Vattenfall International, Sweden;

- during 1994-1996 Project Manager, Sjaslendske Kraftverker, Denmark;

- during 1990-1994 Head of Electricity, Vattenfall Varmekraft, Stenungsund, Sweden;

- during 1988-1990 Systems Engineer, Nynas Petroleum, Nynashamn, Sweden.

Mr. Torbjörn Wahlborg has not conducted, in any form, any competitive activity towards the Issuer, has not participated in any competitive company as a partner of a civil company, as a partner of a partnership or a member of an authority of a joint stock company and has not participated in any other competitive legal person as a member of its bodies. Mr. Torbjörn Wahlborg is not listed in the Register of Insolvent Debtors maintained based on the act on National Court Register.

At the same time, the Company’s Board informs that as of 24 April 2013 Ms. Małgorzata Aniołek resigned from the function of a member of the Supervisory Board of ENEA S.A. Ms. Małgorzata Aniołek did not state any reasons for her decision.

Having in mind the diverse and international nature of Enea SA's shareholding, and also the provisions of the Best Practices of WSE Listed Companies, Enea SA guarantees the availability of its website also in English. In case of any interpretation doubts and discrepancies between the Polish and English versions, the Polish version shall prevail.
