Acting compliant with § 5 item 1(21) and (22) of the Regulation of the Minister of Finance of 19 February 2009 on current and periodic information published by issuers of securities […] (Regulation), the Board of ENEA S.A. (Company, Issuer) informs that on 29 June 2012 the Ordinary General Meeting of Shareholders of ENEA S.A. adopted resolutions in which it decided that on 30 June 2012 the term of the member of the Supervisory Board of the Company shall expire in relation to:

Mr. Tadeusz Mikłosz

Mr. Tadeusz Mikłosz holds higher qualification in team leadership and political science. He has also completed Postgraduate Studies in commercial law in Poznan University of Economics. Mr. Mikłosz has long-term professional experience in the area of power engineering and corporate supervision. Since 1983 associated with ENEA S.A. and its predecessor entity, at present an employee of the Corporate Department responsible for corporate supervision over the companies of ENEA Group. Since 1997 Mr. Mikłosz was a member of many Supervisory Boards, including being the Chairman of the Supervisory Board in ENEA S.A. and its predecessor entity for two terms. Since 1997 Mr. Mikłosz has had the authority to be appointed as a member of supervisory boards in State Treasury companies.

Mr. Graham Wood

Mr. Graham Wood has worked for 37 years in the European power industry (energy and gas), comprising both generation, and distribution of energy. His career was connected with both the private and public sectors. Mr. Wood worked e.g. with the team responsible for the privatisation of the UK electricity sector. Holding senior positions in companies he has gained wide international experience in Europe, the USA, the Far East and Australia. Most recently (2002-2007) Mr. Wood was the Head of Corporate Finance for E.ON AG in Dusseldorf. E.ON was the largest listed company in Germany (by capitalisation). Mr. Graham Wood was responsible for financing of the E.ON Group, including corporate financial transactions in Europe and the USA, balance sheet strategy reconstrual, and various significant equity and debt capital market transactions. Previously, he was the Group Treasurer, Powergen plc, based in London.

Powergen was one of 50 major energy companies listed on teh London stock exchange. Key transactions are: take-overs in the United States of America and the United Kingdom, and establishment of financing structures for projects on emerging markets in the Eastern Europe, India, the Far East and Australia.

Mrs. Sandra Malinowska

Mrs. Sandra Malinowska is a graduate of the University of Warsaw, Faculty of Law and Administration (10.1992 - 10.1996), a legal counsel (legal counsel's training in the District Chamber of Legal Counsels in Warsaw 10.1998 - 06.2002). Mrs. Sandra Malinowska is a member of the District Chamber of Legal Counsels in Warsaw. A long-term employee of the Ministry of Treasury employed in Departments performing corporate supervision over companies with participation of the State Treasury, and presently a legal counsel in the Privatisation Department of the Ministry of Treasury. Mrs. Sandra Malinowska was, among others, a member of Supervisory Boards of companies with participation of the State Treasury: GlaxoSmithKline Pharmaceuticals S.A., Slaskie Zaklady Aparatury Przemyslowej ARMAK Sp. z o.o., Textilipex Sp. z o.o., Lubinex Sp. z o.o., Huta Andrzej S.A., Zaklady Przemyslu Odziezowego S.A. in Swiebodzice, Uzdrowisko Swinoujscie S.A. and others.
