Acting pursuant to § 5 item 1(21 and 22) of the Regulation of the Minister of Finance of 19 February 2009 on current and periodic information published by issuers of securities […], the Board of ENEA S.A. informs that on 29 June 2011 the Ordinary General Meeting of Shareholders of ENEA S.A. adopted the resolution regarding dismissal of Mr. Bartosz Nowicki from the position of the Member of the Supervisory Board of ENEA S.A. commencing from 29 June 2011. The basis for the dismissal of the aforementioned person from the held position was not revealed.

Simultaneously the Board of ENEA S.A. informs that on 29 June 2011 the Ordinary General Meeting of Shareholders of ENEA S.A. adopted the resolution regarding nomination as of the same day of Mrs. Agnieszka Mańkowska to the position of a Member of the Supervisory Board for the VII common term.

Mrs. Agnieszka Mańkowska is a graduate of the University of Warsaw, Faculty of Management, and Post-Graduate Managerial Studies within Management of financial project from EU funds. During her professional work she has completed courses and trainings from the field of accounting and enterprise restructuring.

Since 1997 till the present moment she has been employed in the Ministry of Treasure in the Departments performing ownership supervision over companies with interest of the State Treasury. Formerly, she was professionally related to Bank Przemysłowo-Handlowy S.A. in Cracow, working in the Brokerage Office, in Stock Exchange Transactions Section in Warsaw. Additionally, since 1999 she has been participating in the supervisory authorities of capital companies with interest of the State Treasury.

Professional experience:

-supervision of the functioning of bodies of associations of capital,

-preparation of projects of ownership decisions concerning sale of constituents of properties, establishment of subsidiaries, mergers of entities, decreasing or increasing of share capitals,

-opinions on draft statutes of companies, development of draft resolutions of corporate bodies,

-service and participation in general meetings (meetings of shareholders),

-handling matters connected with exercise of rights attached to shares or stock in associations of capital,

-supervision of economic issues related to the business of associations of capital.

Mrs. Agnieszka Mańkowska has not conducted, in any form, any activity being competitive in relation to ENEA S.A. She has not participated in any competitive company as a partner of civil company, as a partner of a partnership or a member of an authority of an association of capital and has not participated in any other competitive legal entity as a member of its body.

Mrs. Agnieszka Mańkowska is not listed in the Register of Insolvent Debtors maintained based on the act on KRS (National Court Register).

Having in mind the diverse and international nature of Enea SA's shareholding, and also the provisions of the Best Practices of WSE Listed Companies, Enea SA guarantees the availability of its website also in English. In case of any interpretation doubts and discrepancies between the Polish and English versions, the Polish version shall prevail.
