Acting on the basis of Clause 34 par. 1 pt. 2 of the Regulation of the Minister of Finance on current and periodic information published by issuers of securities [...] of 19 February 2009, the Management Board of ENEA S.A. announces that, on 19 January 2011, it received Resolution No. 90/2011 of the Management Board of Giełda Papierów Wartościowych w Warszawie S.A. (the Warsaw Stock Exchange) of 19 January 2011, which reads as follows:

The WSE Management Board declares that, in accordance with Clause 19 par. 1 and 2 of the WSE Regulations, 8,100,939 (eight million one hundred thousand nine hundred and thirty-nine) ordinary Series B bearer shares of the company ENEA S.A., with a nominal value of PLN 1 (one zloty) each, have been admitted to trading on the primary market.

§ 2

On the basis of Clause 38 par. 1 and 3 of the WSE Regulations, the WSE Management Board resolves to introduce the shares of ENEA S.A. specified in Clause 1 to trading on the primary market under ordinary procedures, provided that on 21 January 2011 Krajowy Depozyt Papierów Wartościowych S.A. (the National Depository for Securities) registers those shares and assigns the code “PLENEA000013" to them.

§ 3

This resolution comes into effect on the day it is passed."

The decision taken by the WSE Management Board to introduce the aforementioned shares to trading on the same regulated market to which other shares in ENEA S.A. bearing the code "PLENEA000013" have been introduced constitutes the fulfilment of the condition for their registration in the National Depository for Securities, as referred to in Current Report No. 2/2011 of 18 January 2011.

Having in mind the diverse and international nature of Enea SA's shareholding, and also the provisions of the Best Practices of WSE Listed Companies, Enea SA guarantees the availability of its website also in English. In case of any interpretation doubts and discrepancies between the Polish and English versions, the Polish version shall prevail.
