Acting pursuant to Clause 34 par. 1. pt. 1 of the Regulation of the Minister of Finance of 19 February 2009 on current and periodic information published by issuers of securities […], the Management Board of ENEA S.A. announces that on 18 January 2011 it received Resolution No. 36/11 by the Management Board of Krajowy Depozyt Papierów Wartościowych S.A. (National Depository for Securities) dated 17 January 2011, as follows:

“Article 1

1. Acting on the basis of Article 40 par. 2, 3 and 4a and read together with Article 2 par. 1 and 4 of the Regulations of the National Depository for Securities, having considered an application from the company ENEA S.A., the Management Board of the National Depository resolves to accept for deposit 8,100,939 (eight million one hundred thousand nine hundred and thirty nine) ordinary bearer shares in the company ENEA S.A. at a nominal value of PLN 1 (one zloty) each, and to allocate to them the code number PLENEA000013, on condition that the company which operates the regulated market to which other shares in the company ENEA S.A., bearing the code number PLENEA000013, were introduced earlier, decides to introduce the new shares to trading on the same regulated market, but subject to Clause 2.

2. The shares referred to in Clause 1 shall be registered with the National Depository for Securities within three days of the day on which the National Depositary receives the documents confirming that the company which operates the regulated market has reached the decision referred to in Clause 1, but no sooner than the date, stated in the decision, on which these shares shall be introduced to trading on that regulated market.

Article 2

Notification of the registration of the ordinary series B bearer bearing the code number PLENEA000013 and of the quantity of shares registered under this code number shall be issued in the form of a communiqué by the National; Depository for Securities.

Article 3

This resolution comes into effect on the day it is adopted."
