Acting pursuant to Article 5 par. 1 pt. 21 and 22 of the Regulation of the Minister of Finance on current and periodic information published by issuers of securities […] of 19 October 2009, the Management Board of ENEA S.A. announces that on 26 March 2010 an Extraordinary General Meeting of Shareholders of ENEA S.A. adopted a resolution recalling Michał Łagoda, Piotr Begier, Marian Janas and Wiesław Pawliotti from their positions as members of the Supervisory Board of ENEA S.A. The reasons for recalling those people from their positions were not given.

The Management Board of ENEA S.A. also announces that on 26 March 2010 the Extraordinary General Meeting of Shareholders of ENEA S.A. adopted a resolution on appointing Paweł Lisiewicz, Bartosz Nowicki, Jeremi Mordasiewicz and Ms Małgorzata Aniołek to the Supervisory Board for the seventh term of office.

1. Paweł Lisiewicz

Mr Paweł Lisiewicz graduated from Adam Mickiewicz University in Poznań in 2003 and holds the title of master of political science, specialising in journalism and political marketing. He passed an examination for the National Staff Pool, which he took in the National School of Public Administration in 2008, which confirms that he is qualified to work in senior positions in national administration.

Since 2008 he has also studied at Kozminski University on the course “Masters of Business Administration Programme", specialising in HR (scheduled to end in June 2010). In 2008 he also completed a training course at the London School of Public Relations, the Association of PR Companies, entitled “London School of Public Relations Course – an Integrated Approach to PR".

From 2003 to 2004 he lectured at the College of Communications and Management in Poznań on “Institutions of the European Union" and “European Information".

Since December 2007 he has worked at the Ministry of the State Treasury in the position of Director of the Office of Social Communication, responsible for privatisation-related public relations, investor relations, educational projects, international cooperation and Internet communication.

He has broad knowledge of the functioning of commercial law companies and a great deal of professional experience in management and project positions, which he gained in various economic institutions and organisations, e.g. the Warsaw City Office, Atlas Economic Research Foundation in Washington, and the Institute of Economic Affairs w London.

Mr Paweł Lisiewicz is not engaged in any activities whatsoever which would constitute competition against ENEA S.A., he does not participate in any competing enterprise as a partner in a private partnership or any other form of partnership or as a member of a corporate body of a limited company, nor does he participate in any other competing legal person as a member of any of its corporate bodies. He is not listed in the Insolvent Debtors Register maintained pursuant to the Act on the National Court Register.

2. Bartosz Nowicki

Mr Bartosz Nowicki graduated from the Faculty of Law, Canon Law and Administration of the Catholic University of Lublin, majoring in Law, and also completed a postgraduate course in Accountancy and Corporate Finance at the Collegium of Management and Finance of Warsaw School of Economics, as well as the Stock Exchange School at the Department of Corporate Finance of the Warsaw School of Economics. He is a trainee attorney-at-law.

From 2001 to date he has been employed at the Ministry of the State Treasury (Legal Department and the Owner Supervision Departments). He also participates in the supervisory boards of companies with State Treasury participation.

Past experience:

- supervising the functioning of companies’ corporate bodies;

- preparing drafts of owners’ decisions relating to the disposal of assets, the creation of subsidiaries, mergers, and increasing or decreasing share capital;

- preparing and assessing draft company statutes;

- preparing draft resolutions of corporate bodies;

- assisting and participating in general meetings of shareholders (shareholders meetings);

- conducting matters associated with exercising rights under shares in companies;

- supervising financial issues associated with the activities of companies;

- preparing drafts of legal opinions relating to interpretations of the law, particularly in the area of civil law, commercial company law, the Act on Commercialisation and Privatisation and the Act on the Rules Governing the Exercising of Rights of the State Treasury;

- providing court representation, as part of his attorney-at-law traineeship.

Mr Bartosz Nowicki is not engaged in any activities whatsoever which would constitute competition against ENEA S.A., he does not participate in any competing enterprise as a partner in a private partnership or any other form of partnership or as a member of a corporate body of a limited company, nor does he participate in any other competing legal person as a member of any of its corporate bodies. He is not listed in the Insolvent Debtors Register maintained pursuant to the Act on the National Court Register.

3. Jeremi Mordasewicz

Mr Jeremi Mordasiewicz graduated from the Faculty of Civil Engineering of Warsaw University of Technology in 1974.

Past experience:

- advisor to the Executive Board of the Polish Federation of Private Employers – Lewiatan, and its representative in the Tri-partite Commission on Socio-Economic Affairs since 2001.

Tasks performed at PKPP (Polish Federation of Private Employers):

- monitoring the economic situation;

- providing opinions on draft laws in respect of their economic consequences;

- formulating recommendations concerning economic policy;

- presenting the viewpoint of PKPP Lewiatan in the media;

- broadening knowledge about the economy;

- Supervisory Board member of Dr Irena Eris S.A. since 2004;

- Supervisory Board member of ZUS (the Polish State Social Insurance Agency) since 2005;

- Member of the Treasury Affairs Consultative Council constituted under the auspices of the Minister of Finance, 2004-2005;

- Owner and CEO of a design and construction business, 1991-2004;

- Co-founder and Deputy Director of the Business Centre Club, 1991-2000;

- Member of the Team for Reducing Bureaucracy in the Economy, 1998-1999;

- Member of the Commission for Reform of Employment Law and Social Insurance, 1994-1998.

Between 1974-1990:

- academic teacher at the department of Civil Engineering and Architecture of Warsaw University of Technology;

- designer and manager of the Design and Research Centre of Mostostal;

- engineer on Mostostal and Budopol construction projects in Poland, Algeria and Switzerland.

Awards: Knights’ Order (Krzyż Kawalerski) for furthering economic education and integrating the business community.

Mr Jeremi Mordasewicz is not engaged in any activities whatsoever which would constitute competition against ENEA S.A., he does not participate in any competing enterprise as a partner in a private partnership or any other form of partnership or as a member of a corporate body of a limited company, nor does he participate in any other competing legal person as a member of any of its corporate bodies. He is not listed in the Insolvent Debtors Register maintained pursuant to the Act on the National Court Register.

4. Małgorzata Aniołek

Małgorzata Aniołek has higher education in economics. She is a graduate of the Faculty of Foreign Trade of the Central College of Planning and Statistics in Warsaw (now Warsaw School of Economics). She is fluent in German and Russian. She has been a civil service official since 1 December 2005. She has participated in numerous training courses in accountancy, corporate finance, financial instruments and management accounting.

Since May 2001, she has worked at the Budget and Finance Department of the Minister of the State Treasury, where she has been the director since 15 November 2007. Her main tasks include conducting the Ministry’s accounts, settling privatisation agreements, recovering receivables of the State Treasury and planning and supervising the implementation of the Ministry’s budget with regard to budget resources and special funds.

From 1990 to 2000 she worked at Chimex Sp. z o.o., which conducted commercial activities and provided technical advice on the basis of representation agreements with foreign producers of chemicals, mainly for the paint and varnish industry, the plastics industry, the paper industry, light industry, the textile industry and the food industry. From 1993 she was a member of the company’s Management Board, responsible for its pricing policy on the Polish market, marketing and distributing its products in Poland and its financial affairs (settlements with suppliers and customers, cooperation with banks, carrying out analyses of whether transactions are profitable, investing free funds).

From 1982 to 1990 she worked as a sales specialist in the Fixtures Office of PTHZ VARIMEX in Warsaw, where she was responsible for exports of sanitary fixtures and connectors to West Europe and countries in the Middle East, imports of industrial fixtures and cooperation with regard to fixtures and foundry engineering and compensation transactions.

Ms Małgorzata Aniołek is not engaged in any activities whatsoever which would constitute competition against ENEA S.A., she does not participate in any competing enterprise as a partner in a private partnership or any other form of partnership or as a member of a corporate body of a limited company, nor does she participate in any other competing legal person as a member of any of its corporate bodies. She is not listed in the Insolvent Debtors Register maintained pursuant to the Act on the National Court Register.

Having in mind the diverse and international nature of Enea SA's shareholding, and also the provisions of the Best Practices of WSE Listed Companies, Enea SA guarantees the availability of its website also in English. In case of any interpretation doubts and discrepancies between the Polish and English versions, the Polish version shall prevail.
