Acting on the basis of Art. 56 sec. 1 pt. 1 of the Act on Public Offering, Conditions Governing the Introduction of Financial Instruments to Organised Trading, and Public Companies dated 29 July 2005 (unified text Dz. U. 2009 No. 185 item 1439) and with reference to the information provided in current report no.: 4 dated 13 January 2010, the Management Board of ENEA S.A. (the “Company") informs that in connection with the process of sale by the State Treasury up to 70.851.533 of the Company’s shares, on 29 January 2010 the Company made available to selected institutional investors the financial statements attached to the International Offering Circular, of which English language versions are attached to this current report. The offering is addressed to selected institutional investors.

3) Audited financial statements of Elektrownia Kozienice S.A. for the years ended on 31 December 2005, 2006 and 2007 with the independent auditor’s report on the audit of those consolidated financial statements;
4) Audited financial statements of Elektrownia Kozienice S.A. for the year ended on 31 December 2008 with the independent auditor’s report on the audit of those consolidated financial statements;
5) Condensed interim consolidated financial statements of the Group for the period from January 1, 2009 to September 30, 2009 and the independent auditor’s report on the review of those condensed interim consolidated financial statements.
