Content of the report:

The Management Board of ENEA S.A. (the Issuer) announces that, on 14 January 2010, Agreement No. OSD/PO/ENEA/2010 on the provision of electricity distribution services was concluded between the Issuer and ENEA Operator Sp. z o.o. The Agreement is for the purpose of ensuring the provision of distribution services in order to implement comprehensive agreements and sales agreements concluded by the Issuer with customers connected to the grid of ENEA Operator Sp. z o.o. The Agreement was concluded for an indefinite period. The estimated remuneration due to ENEA Operator Sp. z o.o. for the provision of distribution services from 1 January to 31 December 2010 is PLN 2,076,752,400.00 net.

As a result of concluding the Agreement, the total value of turnover between the Issuer and ENEA Operator Sp. z o.o. on the basis of agreements concluded during the period from 25 March 2009 (i.e., from the publication date of current report No. 35/2009, in which the Issuer announced transactions with ENEA Operator of a value exceeding 10 per cent of the Issuer's equity) to the date of concluding the Agreement is approximately PLN 2,385,483,644.00.

The total value of the above turnover between the Issuer and ENEA Operator Sp. z o.o. exceeds 10 per cent of the equity of the Issuer.

Having in mind the diverse and international nature of Enea SA's shareholding, and also the provisions of the Best Practices of WSE Listed Companies, Enea SA guarantees the availability of its website also in English. In case of any interpretation doubts and discrepancies between the Polish and English versions, the Polish version shall prevail.
