Pursuant to Clause 5 par. 1 pt. 22 of the Regulation of the Minister of Finance on Current and Periodic Information [...] of 19 February 2009, the Management Board of ENEA S.A. (the Issuer, the Company) reports that on 22 May 2009 the Issuer’s Supervisory Board adopted a resolution on the appointment, as of 1 June 2009, of Mr Maciej Owczarek to the position of President of the Company’s Management Board.

Mr Maciej Owczarek is 48 years old. He is a graduate of Warsaw Technical University and holds an MBA awarded jointly by the University of Warsaw and the University of Illinois.

Professional experience:

October 2007 – March 2009: TP TELTECH Sp. z o.o., President of the Management Board

Responsible for the management of this subsidiary of the TP Capital Group and for the preparation and implementation of a project aimed at optimising the costs of maintaining the access service network and developing the company. 340 employees were directly subordinate to him and a further 450 employees were indirectly managed operationally by him under outsourcing arrangements. His average annual income was approximately PLN 120 million.

March 2002 – October 2007: Telekomunikacja Polska S.A.

January 2005 – October 2007: Director of the Technical and Client Service Department

Responsible for the logical layer of the access service network in the area of technical provision and maintenance of telecommunications services. Responsible for the process of planning and supervising the implementation of investments in the telecommunications access service network. Reporting directly to the Executive Director for Services and Sales of the TP Group. 3,200 people were employed in the structure that he managed.

March 2002 – December 2006: Managing Director of TP PubliTel

Responsible for the entire enterprise, which involved maintaining 80,000 telephone boxes etc. and the sale of telephone prepayment cards. Initially reporting to the Director of the Individual Clients Department. 1,500 people were employed in the structure that he managed. His average annual income was around PLN 360 million.

March 2001 – May 2002: Yellowtel Polska Sp. z o.o., General Director

Responsible for management and development in Central European countries; reported to the General Director of Yellowtel AS; 60 employees.

1997 – March 2002: INTERSPORT Polska Sp. z o.o., General Director, Member of the Management Board, Liquidators’ Representative

Responsible for the entire operation; reporting initially to the President of the Management Board of INTERSPORT Polska and later to the President of the Management Board of Gresyig ASA Group; 90 employees.

1996: Amoco Central Europe: Marketing Manager for Central Europe

Responsible for establishing and implementing communications strategy and for establishing and supervising a USD 1 million budget. Reporting to the Marketing Director for Central Europe.

1992 – 1995: Levi Strauss Poland Sp. z o.o.

1994 – 1995: Marketing Director

Responsible for creating and implementing a marketing strategy linked with a European strategy and for creating and supervising a USD 1 million budget; reporting to the Commercial Director. Management of a five-person team.

1992 – 1994: Sales Director

Responsible for creating a network of independent Levi’s Authorised Dealers with 70% national coverage. Reporting to the Commercial Director; a four-person team.

1992: Regional Sales Director

Responsible for setting up and managing company-owned shops in northern Poland; reporting to the Retail Sales Director.

1992 – 1995: Manager for Trade Mark Protection

An additional position, in which he reported to the Director General and the Deputy Director for Security of Levi Strauss Europe.

1990 – 1992: IMA Trading Company, owner

Created and managed four clothing shops and a clothing warehouse that had clients throughout the country.

Mr Maciej Owczarek is not engaged in any form of business that competes with that of ENEA S.A., does not participate in any competing company as a member of a partnership or as a member of a corporate body of a company with share capital and does not participate in any other competing legal entity as a member of a corporate body. Furthermore, he is not entered in the Register of Insolvent Debtors maintained on the basis of the National Court Register Act.

ENEA S.A.’s Supervisory Board also adopted a resolution on ending the evaluation of candidates for the position of Management Board Member for Commercial Affairs without appointing a candidate.
