The Management Board of Enea S.A. ("Company") hereby informs on the signing as at 22 April 2025 between Enea Nowa Energia sp. z o.o. ("Enea Nowa Energia") and Greenvolt Power Group sp. z o.o., of an agreement to purchase, by Enea Nowa Energia, a 100% stake in the share capital of the special purpose vehicle by the name of Radan Nordwind sp. z o.o. the owner of the Pelplin wind farm with a total capacity of 83.2 MW ("Agreement"), located in Pomorskie voivodship.

The value of the agreement is PLN 750,687,360.

The wind farm has been granted a use permit. Currently, the process of obtaining a license for electricity generation is underway. The Company expects the license to be issued in Q3 2025.

In other respects, the provisions of the Agreement do not deviate from the terms commonly used for these types of contract.

The acquisition is consistent with the assumptions of the "Enea Group Development Strategy until 2035," which calls for a rapid growth in installed capacity in renewable energy sources. The Enea Group continues its activities in this area towards the achievement of its target of over 4.9 GW of RES capacity by 2035.
