Subject: Changes in the composition of the Enea S.A. Supervisory Board

Body of the report:

The Management Board of Enea S.A. ("Company") hereby reports that on 13 February 2025 the Extraordinary General Meeting of Enea S.A. adopted resolutions by the power of which Ms. Monika Bartoszewicz and Mr. Michał Kempa were appointed to the Company's Supervisory Board of the 11th term of office as of the same date.

Below the Company provides information on the education, qualifications and positions held previously by the aforementioned persons along with a description of their professional careers and other required information.

Ms. Monika Bartoszewicz:

Core competencies:

- expert knowledge of Polish Accounting Standards (PAS) and International Financial Reporting Standards (IFRS)

- knowledge of financial statement auditing procedures

- knowledge of the functioning of the internal audit function and controls

- knowledge of laws and regulations applicable to public companies in Poland

- experience in auditing the financial statements of the largest public companies with significant State Treasury shareholdings

- experience in admission to trading of securities issued by companies listed on the WSE

2007-2011 - Polish Chamber of Certified Auditors, Warsaw branch - Management Board Member

As a certified auditor, she participated in the process of listing of shares on the Warsaw Stock Exchange and was responsible for the audit of financial statements of companies listed on the Warsaw Stock Exchange, such as PKN Orlen S.A., CIECH S.A., AMBRA S.A., PKP CARGO S.A., BIOTON S.A., FERRUM S.A., FERRO S.A., Grupa Azoty Zakłady Chemiczne Police S.A., MLP Group S.A., POLENERGIA S.A., PROCHEM S.A., ULMA CONSTRUCCION POLSKA S.A.

Within the Audit Committee Institute she prepared the topics for the meetings of Audit Committee and Supervisory Board members, including in terms of cooperation with the auditor, risk map, Audit Committee agendas, etc.

During her tenure as Head of the Audit Department from 2014 to 2019, KPMG was ranked No. 1 as "The Best Audit Firm" in the Rzeczpospolita and Parkiet rankings.

According to her representation, Ms. Monika Bartoszewicz does not conduct any activity in any form that would compete with that carried out by Enea S.A., nor does she participate in any competing company as a partner in a civil or commercial law partnership or as a member of a governing body in a company, nor does she participate in any competing legal person as member of its governing body.Ms. Monika Bartoszewicz is not listed in the Register of Insolvent Debtors kept pursuant to the National Court Register Act.

Mr. Michał Kempa:

Mr. Michał Kempa graduated in economics from Nicolaus Copernicus University in Toruń, Poland, and later earned a doctorate in economics from the Swedish School of Economics and Business Administration (now Hanken School of Economics) in Helsinki.

He has extensive experience in regulatory impact analysis with a particular focus on energy sector regulation. From 2016 to 2024, he worked as a Senior Manager at Ernst _amp; Young Law Zakrzewska i Wspólnicy, where he led a team of analysts and managed projects on energy market regulation and support for energy-intensive industries. Previously, he held management positions in public administration - among others, he was Deputy Director of the Regulatory Impact Assessment Department in the Prime Minister's Office (2012-2016), where he oversaw assessments of regulatory impact on the economy and public finances. He participated in the development of the auction support system for renewable energy sources.

From 2009 to 2012, he worked at the Ministry of Finance as Head of the Macroeconomic Analysis Department, dealing with, among other things, the pension system and macroeconomic forecasts. He gained international experience at the National Bank of Finland, the European Central Bank and AOL Time Warner in London.

He was a member of the Supervisory Board of Korporacja Ubezpieczeń Kredytów Eksportowych S.A. (2012-2016), serving as chairman of the audit committee, and the Supervisory Board of the Social Security Institution (ZUS) (2011-2012). He is fluent in English and speaks German at a communicative level.

According to his representation, Mr. Michał Kempa does not conduct any activity in any form that would compete with Enea S.A., nor does she participate in any competing company as a partner in a civil or commercial law partnership or as a member of a governing body in a company and she does not participate in any competing legal person as member of its governing body. Mr. Michał Kempa is not listed in the Register of Insolvent Debtors kept pursuant to the National Court Register Act.
