Subject: Information on the intention to propose a candidate for a member of the Company's Supervisory Board

The Management Board of ENEA S.A. ("Company") hereby reports that earlier today it received information from the State Treasury acting as a shareholder about its intention to propose Mr. Michał Kempa as a candidate for a member of the ENEA S.A. Supervisory Board in connection with the convening of the ENEA S.A. Extraordinary General Meeting for 13 February 2025, the agenda of which includes an item on adopting resolutions on changes in the composition of the Supervisory Board.
Presented below is the biographical note concerning Mr. Michał Kempa provided by the said shareholder.
He graduated in economics from Nicolaus Copernicus University in Toruń, Poland, and later earned a doctorate in economics from the Swedish School of Economics and Business Administration (now Hanken School of Economics) in Helsinki.
He has extensive experience in regulatory impact analysis with a particular focus on energy sector regulation. From 2016 to 2024, he worked as a Senior Manager at Ernst _amp; Young Law Zakrzewska i Wspólnicy, where he led a team of analysts and managed projects on energy market regulation and support for energy-intensive industries. Previously, he held management positions in public administration - among others, he was Deputy Director of the Regulatory Impact Assessment Department in the Prime Minister's Office (2012-2016), where he oversaw assessments of regulatory impact on the economy and public finances. He participated in the development of the auction support system for renewable energy sources.
From 2009 to 2012, he worked at the Ministry of Finance as Head of the Macroeconomic Analysis Department, dealing with, among other things, the pension system and macroeconomic forecasts. He gained international experience at the National Bank of Finland, the European Central Bank and AOL Time Warner in London.
He was a member of the Supervisory Board of Korporacja Ubezpieczeń Kredytów Eksportowych S.A. (2012-2016), serving as chairman of the audit committee, and the Supervisory Board of the Social Security Institution (ZUS) (2011-2012). He is fluent in English and speaks German at a communicative level.
